Introduction
Purchasing Academy Amsterdam B.V. (hereafter referred to as: “PAA”) offers downloads (hereafter referred to as: “Product”) and content (hereafter referred to as: "PAA content"). And it fulfills a personalized subscription service (hereafter referred to as “Membership”) that allows subscribers to access PAA content over the Internet on Internet-connected computers, phones, tablets, and other devices (hereafter referred to as "PAA-ready devices").
PAA content includes all features and functionalities, the website and user interfaces, all content, downloadable videos, handouts, user cases, the community, badges, certificates, exams, and software associated with our services.
As used in these Terms & Conditions (hereafter referred to as “T&C”), "PAA service," “PAA services,” "our service,” “our services,” "the service," or “the services” means the (personalized) digital services provided by PAA for discovering, accessing, and using PAA content, through a Membership or Product.
These T&C refer to ‘you’ as the subscriber to a Membership, or the buyer to a Product, whose payment method is charged.
1. Selling and fulfillment
1.1 The Memberships and Products are sold by our ‘Merchant of Record,’ FastSpring (www.fastspring.com), an authorized reseller, hereafter referred to as “FastSpring.”
1.2 When you purchase a Membership or Product, FastSpring sells you this and sends you (via email) credentials to manage the payment methods associated with your subscription.
1.3 Additionally, PAA creates your account in its database based on the information it receives from FastSpring, allowing you access to your Membership or Product. PAA will send you (via email) separate credentials to log in to your account and thus access your Membership or Product.
1.4 As the authorized reseller, FastSpring will charge your payment method for your Membership (periodically) or Product (once), referring to ‘Purchasing Academy Amsterdam or PAA’.
1.5 Before buying your Product or Membership with FastSpring, you must agree to the ‘T&C Purchasing Academy Amsterdam,’ including our ‘Privacy Statement,’ as outlined in this document.
1.6 When buying your Product or Membership, you must additionally consent to FastSpring’s terms and conditions and privacy statement as part of the purchasing process (please refer to www.fastspring.com for more details).
2. Customer support
2.1 FastSpring will provide customer support for purchases, payments, invoicing, and Payment Methods. Please contact them with the information they provided (see Article 1.2).
2.2 PAA is responsible for managing your Membership (including upgrades, downgrades, cancellations, and un-cancellations) and fulfilling the services that are part of your Membership or Product. Please contact us through your account at www.purchasing.academy or via email at support@purchasing.academy.
3. Membership
3.1 Your PAA Membership will continue until canceled (see Article 5.5) or terminated (see Article 7.8 and 8.4). You must have internet access and a PAA-ready device to use the PAA services, and you must provide FastSpring with one or more valid Payment Methods. “Payment Method” refers to a current, valid, and accepted payment method, which may be updated periodically. You authorize FastSpring to charge the fee for your Membership for the coming billing cycle using your Payment Method, or a one-time payment for a Product.
3.2 If you cancel your Membership before the next billing cycle starts, the next period will not be charged, and your Membership will remain in effect until the end of the current billing cycle.
3.3 If you downgrade your Membership before the next billing cycle starts, the new Membership will be charged in the next period, and the old Membership will stay in effect until the end of the current billing cycle.
3.4 If you upgrade your Membership before the next billing cycle starts, the new Membership will be automatically charged in the next period, the new Membership will begin immediately, and the price difference between the new and old Membership will be charged to your Payment Method for the days that remain until the new billing cycle.
3.5 You can upgrade, downgrade, cancel, or un-cancel your Membership through your account on the PAA website.
3.6 Follow the information FastSpring provided to find specific details regarding updating your Payment Method (see Article 1.2).
4. Promotional Offers
4.1 PAA or FastSpring may occasionally offer special promotional offers, plans, Products, or Memberships (“Offers”). PAA or FastSpring determines offer eligibility at their sole discretion, and they reserve the right to revoke an Offer and put your account on hold if they decide you are not eligible.
4.2 Existing or new PAA subscribers may not be eligible for certain introductory Offers.
4.3 PAA or FastSpring may use information such as device ID, IP address, method of payment, or an account email address used with an existing or recent Membership to determine Offer eligibility.
4.4 The eligibility requirements and other limitations and conditions will be disclosed when you sign up for the Offer or in other communications.
5. Billing and Cancellation
5.1 Billing cycle. FastSpring will charge the fee for your Membership to your Payment Method on the specific payment date (usually the date your Membership started). The billing cycle length will depend on the type of Membership you chose when you signed up for the service. Sometimes, your payment date may change, for example, if your Payment Method was not successfully settled when you changed your Membership or if your Membership began on a day not contained in each month. Use the credentials FastSpring provided and check your Membership with FastSpring for more details.
5.2 Product transaction. FastSpring will charge the price for your Product to your Payment Method.
5.3 Payment Methods. To use the PAA service or buy a Product, you must provide FastSpring with one or more valid Payment Methods. You authorize FastSpring to charge any Payment Method associated with your Membership or Product if your primary Payment Method is declined or no longer available for payment of your Membership fee or Product price. You remain responsible for any uncollected amounts. Suppose a payment is not successfully settled due to expiration, insufficient funds, or other reasons, and you do not cancel your account in a timely manner. In that case, we may suspend your access to our services until FastSpring has successfully charged a valid Payment Method. Or we may terminate your Membership. Or, when buying a Product, the transaction can be declined. For some Payment Methods, the issuer may charge you specific fees, such as foreign transaction fees or other fees relating to processing your Payment Method. Local tax charges may vary depending on the Payment Method used and the country you are in. Check with your Payment Method service provider for details.
5.4 Updating your Payment Methods. You can update your Payment Methods by following the information provided to you by FastSpring (see Article 1.2). FastSpring may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize FastSpring to continue charging the applicable payment method(s).
5.5 Cancellation. You may cancel your Membership at any time and will continue to have access to the PAA service through the end of your billing cycle. To cancel, visit your account on the PAA website. If you cancel your Membership, your account will automatically close at the end of your current billing cycle. Please be advised that you will lose all access to and data, including progress, attained badges, community history, certificates, verification of achievements, and diplomas. These cannot be restored. After a Product is bought, the transaction cannot be cancelled.
5.6 Changes to the price and Membership Plans. FastSpring or PAA may occasionally change the Membership plans and/or their prices (fees); for instance, due to inflation. However, any price changes or changes to your Membership plan will take effect no earlier than 30 days following notice to you. If you do not wish to accept the price change or changes made to your Membership plan, you can cancel your Membership before the change takes effect.
6. Refunds
6.1 All payments for Memberships and Products are non-refundable. Neither FastSpring nor PAA provides refunds or credits for any partial Membership period or unused PAA content or Product.
6.2 PAA reserves the right to change the quantity, availability, and content of its services. In that case, the subscriber is not entitled to a refund or discount.
6.3 If, at any moment, the service is interrupted, this does not entitle the subscriber to a (partial) refund or discount.
7. PAA Services
7.1 You must be 18 years or older to subscribe to one of our Memberships or buy one of our Products. By agreeing to these T&C, you explicitly state that you are. Minors may only use PAA services under the supervision of an adult.
7.2 The PAA service and any PAA content or Product provided are for your personal use only. They may not be shared with individuals beyond your household unless otherwise allowed by your Membership plan or Product conditions.
7.3 During your Membership, we grant you a limited, non-exclusive, non-transferable right to access the PAA service and PAA content.
7.4 We authorize you to use all PAA content (Memberships and Products) in your personal and professional activities. No right, title, or interest shall be transferred to you except for the preceding.
7.5 You agree not to use the service for public performances or any other (non) commercial purposes.
7.6 All intellectual property and other rights on the services, website, and PAA content rest exclusively with InkoopAcademie IP B.V. (Netherlands Chamber of Commerce: 53.76.95.89) or its licensee, PAA. Nothing in these T&C implies a transfer of intellectual property rights. This includes technologies such as text and data mining, AI training, and similar applications.
7.7 You agree not to: (i) archive (downloadable handouts, filled-in handouts for user cases and Products excepted), reproduce, distribute, modify, display, perform, publish, license, create derivative works from (downloadable handouts and filled-in handouts for user cases excepted), offer for sale, or commercialize in any way PAA content and information contained on or obtained from or through the PAA service or Membership or Product; (ii) circumvent, remove, alter, deactivate, degrade, block, obscure, or thwart any of the content protections or other elements of the PAA service, including the graphical user interface, copyright notices, and trademarks; (iii) use any robot, spider, scraper, artificial intelligence, or other automated means to access the PAA service or PAA content; (iv) decompile, reverse engineer, or disassemble any software or content or other products or processes accessible through the PAA service; (v) insert any code or product or manipulate the PAA content or the PAA service in any way; (vi) use any data mining, data gathering, or extraction method; (vii) upload, post, email, or otherwise send or transmit any material designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment associated with the PAA service, including any software viruses or any other computer code, files, or programs.
7.8 We may terminate or restrict your use of our service if you violate these T&C or are engaged in illegal or fraudulent use of the service.
7.9 The PAA service, including the PAA content library, is regularly updated. We also continually test various aspects of our service, including our website(s), user interfaces, technical features, and promotional features.
7.10 PAA reserves the right to change the quantity, availability, and content of its services.
7.11 The quality of the PAA content's display may vary from device to device and be affected by various factors, including your location, available bandwidth, and internet connection speed. You are responsible for your device(s), connection speed, bandwidth, and all internet access charges. Please check with your internet service provider for information on potential data usage charges.
7.12 The time it takes to begin watching PAA content will vary based on several factors, including your location, available bandwidth at the time, the content you have selected, and the configuration of your PAA-ready device.
7.13 The PAA services are developed by or for PAA and may solely be used for authorized streaming, downloading, and accessing PAA content through PAA-ready devices. The service may vary by device and medium, and functionalities and features may differ between devices. You acknowledge that the service may require third-party software, which is subject to third-party licenses.
7.14 The conditions outlined in this article will remain in effect even after the termination of your Membership.
8. Passwords and Account Access
8.1 Your password(s) and access are for personal use only and should be kept confidential.
8.2 To help maintain control over your Membership and prevent unauthorized users from accessing it, you should not reveal your password(s) or details of the Payment Method associated with your Membership or Product to anyone.
8.3 You agree to provide and maintain accurate information about your Membership, including a valid email address, so that we can send Membership-related notices.
8.4 We can terminate your Membership or place it on hold to protect you, PAA, other subscribers, or our partners from identity theft or fraud.
9. Guarantees and Liabilities
9.1 PAA and InkoopAcademie IP B.V. always try to optimize their services. However, they do not provide any guarantees relating to the functioning of the PAA website, technology, servers, data streaming, or PAA content. This will not entitle the subscriber to any offset or suspension of its payment obligations.
9.2 PAA and InkoopAcademie IP B.V. are in no way liable for any claims from the buyer of a Membership or buyer of a Product resulting from using PAA services, Product, or PAA content. The buyer of a Membership or buyer of a Product agrees to defend, indemnify, and hold harmless PAA and InkoopAcademie IP B.V., their subsidiaries and affiliates, their partners and suppliers, and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to the use of PAA’s services, Product, or PAA’s content.
9.3 Any liability of PAA and InkoopAcademie IP B.V. resulting from intent or willful recklessness or other on the part of PAA or InkoopAcademie IP B.V. will be limited to the maximum amount per claim, which will be paid out in that case to either PAA or InkoopAcademie IP B.V. under the liability insurance taken out by PAA or InkoopAcademie IP B.V. If the insurance mentioned above was not taken out or, for whatever reason, the insurance mentioned above does not give claim to payment, or if no payment takes place or, if no insurance exists, the liability of PAA and InkoopAcademie IP B.V. combined will be limited to no more than the amount invoiced to and paid by the buyer of a Membership during the previous three months or the amount paid for the Product.
9.4 PAA and InkoopAcademie IP B.V. shall never be liable for indirect damages.
10. Privacy Statement
10.1 Users must agree to our ‘cookie statement’ when first visiting our website. They can manage their cookie settings when revisiting it.
10.2 Before buying your Membership or Product with FastSpring, you must first agree to the T&C Purchasing Academy Amsterdam, including our Privacy Statement, as outlined in this document.
10.3 When purchasing your Membership or Product and submitting your personal and financial information, you must consent to FastSpring’s terms and conditions and privacy statement as part of the purchasing process (please refer to www.fastspring.com for more details).
10.4 After purchasing your Membership or Product, you will receive an account with PAA that we have created for you based on the following information we received from FastSpring: your email address, username, first and last name, chosen Membership or Product, and a unique client identifier. You can manage the information in your PAA account by changing or adding it. Some information cannot be changed because it is essential to communicate with FastSpring and can only be altered through their customer support.
10.5 FastSpring will notify PAA using your unique client identifier in case of payment issues, etc.
10.6 Personal data and information, referred to in Articles 10.4 and 10.5, will be used to fulfill our services, inform you about new or related services, or prevent wrongful use.
10.7 PAA may use information such as device ID, IP address, cookies, or an account email address to optimize its services.
10.8 Personal data and information, referred to in Articles 10.4, 10.5, and 10.7, will be stored on one of PAA’s (virtual) servers in Europe and will be deleted once you cancel your Membership or once your access period to a Product has ended.
10.9 PAA will treat subscribers’ data and information in Article 10.4 and 10.7 as confidential, except when disclosure is required by court order or decision.
10.10 PAA will process subscribers' data and information, referred to in Article 10.4 and 10.7, appropriately, carefully, and safely within the limits of PAA's statutory regulations and objectives.
10.11 You have the right to access your collected personal data or to request its complete erasure from all our databases. For this, or if you have any privacy concerns or complaints, please don't hesitate to contact our Data Protection Officer at support@purchasing.academy.
11. Miscellaneous
11.1 Unsolicited Materials. PAA does not accept unsolicited materials or ideas for PAA content and is not responsible for the similarity of any content to materials or ideas transmitted to PAA.
11.2 Survival. Suppose any (part of) provision or provisions of these T&C shall be held invalid, illegal, or unenforceable. In that case, the validity, legality, and enforceability of the remaining provisions shall remain in full force and effect.
11.3 Changes to T&C. PAA may, from time to time, change these T&C. We will modify the footnote “Last update” when we change these T&C. You are responsible for regularly reviewing the most current version of the T&C, available at www.Purchasing.Academy. If PAA decides that any revision she makes constitutes a substantive change to your Membership or Product, PAA or FastSpring will notify you via email, at least 30 days in advance of any changes that take effect. If you do not wish to accept the changes, you can cancel your Membership before they take effect.
11.4 Electronic Communications. PAA or FastSpring will send you information relating to your account (e.g., payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices, etc.) in electronic form only, for example, via emails to your email address provided during registration, or make the information accessible through your account.
11.5 Suspend or Annul. In the event of the discovery of misuse of login accounts or passwords, or extraordinary usage, or sustained or frequent breaches of the provisions outlined in these terms, PAA reserves the right to suspend or terminate the services without prejudice to the right to claim damages or refunds. In that case, the subscriber is not entitled to any compensation.
11.6 Transfer. PAA can transfer the rights and obligations described in these T&C to third parties without the subscriber's consent. You will be notified 30 days prior to the transfer taking effect. If you do not wish to accept the transfer, you can cancel your Membership before it takes effect.
11.7 Governing Law. These T&C shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these T&C shall be submitted exclusively to the competent court in the Netherlands.
